Agreement

These terms govern access to the CityRide apps, this website, and rides arranged through the platform. By creating an account, requesting a ride, going online as a driver, or using the site, you agree to these terms and to the privacy policy. If you do not agree, do not use CityRide.

CityRide provides a technology platform that matches a rider who wants a ride with a driver who chooses to provide one. CityRide App LLC does not itself provide transportation. A trip is between the rider and the driver. The first market is Salt Lake City, Utah. Until the apps are listed, the download buttons on this site stay on Coming Soon.

Eligibility

You must be at least 18 years old to create an account. CityRide is not for anyone under 13, and we do not knowingly let a child under 13 open an account. An adult may travel with their own child. You must be able to form a binding contract.

Drivers must be at least 18, hold a valid license to drive the vehicle in Utah, and pass the document and background review in these terms. [TODO: minimum driver age if it will be higher than 18]. You may not use CityRide if a law that applies to you prohibits it, including if you are barred under U.S. export or sanctions rules.

Accounts

You register with a phone number. You agree to receive the verification and trip texts described in the privacy policy. You will give accurate name and profile information and keep it current. You are responsible for activity on the account and for keeping access to your phone number. Tell us promptly at support@cityrideapp.com if you believe someone else is using the account. We do not offer Sign in with Apple.

Rider obligations

If you request a ride, you agree to:

  • Enter a pickup and destination you are allowed to use, and be ready at the pickup you chose.
  • Pay the fare shown before you confirm, plus any cancellation or other charge the app discloses before you incur it.
  • Treat the driver and the vehicle with care, wear a seatbelt, and follow lawful instructions related to safety.
  • Not ask the driver to break traffic laws or to end the trip in a way that leaves the driver unsafe.
  • Use the account only for yourself, unless an adult account holder is traveling with people in their care.

Driver obligations

If you drive with CityRide, you agree to:

  • Provide and keep current a valid driver's license, vehicle registration, and proof of insurance, and complete a background check through [TODO: background check vendor].
  • Use a vehicle that matches the registration and the description shown to the rider. [TODO: vehicle age, seat, and inspection rules].
  • Go online only when you are fit to drive, and follow traffic laws.
  • Accept that location is collected in the background while you are on duty, as the privacy policy describes, and go offline when you want that collection to stop.
  • Complete Stripe Connect onboarding before payouts, and keep your payout details accurate.

We may refuse or remove driving access if documents lapse, a background check does not meet our review, or we believe there is a safety or fraud risk. [TODO: background check scope and the standard that results in a decline].

Independent contractors

Drivers are independent contractors of their own transportation business. They are not employees, partners, or agents of CityRide App LLC. Driving with CityRide does not create an employment relationship, wages, or employee benefits. Drivers choose when to go online. CityRide does not withhold employment taxes from payouts. Drivers are responsible for their own taxes. Nothing in these terms authorizes a driver to bind CityRide App LLC.

Fees, payments, and refunds

Before a rider confirms a trip, the app shows the fare. That display is where CityRide will show any service fee and the amount the driver receives. [TODO: fare structure, service fee, and driver share]. Rider payments are processed by Stripe. Driver payouts are sent through Stripe Connect. The coming soon site describes instant driver payouts. [TODO: confirm payout speed, any minimum balance, and any payout fee]. You authorize CityRide and Stripe to charge or pay the amounts for completed trips and for disclosed fees.

We do not store your full card number. Stripe may collect tax information from drivers as part of Connect. Network costs, tolls, or other charges are included only if the app shows them before you confirm.

To ask for a refund or to dispute a charge, email support@cityrideapp.com with the trip date and what went wrong. We review requests in good faith. Where the law gives you a refund right, we will honor it. Otherwise a refund is not guaranteed. [TODO: refund window and the criteria support will use]. The name that appears on a card statement will be [TODO: card statement descriptor].

Cancellations

A rider or a driver may cancel a trip that has not been completed. A fee may apply. Any fee and any free window are shown in the app before you take the action that incurs the fee. Until those amounts are final, they are [TODO: free-cancellation window, cancellation fee amounts, and any no-show fee]. Canceling to avoid a fare you already owe, or to manipulate ratings or payouts, is a breach of these terms.

Prohibited conduct

You will not:

  • Use CityRide for anything unlawful, or ask someone else to do so.
  • Harass, threaten, or discriminate against a rider, driver, or support staff.
  • Bring a weapon, illegal drug, or open alcohol in a way that breaks the law, or use the service while impaired if you are driving.
  • Damage a vehicle or another person's property.
  • Spoof location, share an account, scrape the service, or interfere with the apps.
  • Take payment off the platform to avoid a fare or a fee.
  • Create an account for anyone under 13, or misstate your age, identity, or driver documents.
  • Use another person's name, photo, or vehicle information.

Safety

If you are in danger, call 911 before you contact CityRide. We cannot dispatch police, fire, or medical help. The apps include safety monitoring and trip anomaly alerts. We may suspend an account, end a trip in the app, or share information with law enforcement when we believe there is a risk of harm, fraud, or a legal duty to do so. You can report a safety concern to support@cityrideapp.com or support after you are safe.

Insurance

Drivers must carry the automobile insurance Utah law requires to provide rides, and must show proof of that insurance before going online. Do not assume CityRide App LLC insures your vehicle or a trip. [TODO: whether CityRide will carry contingent or commercial insurance, and if so the insurer and the limits]. Your own auto policy may not cover rideshare trips. Drivers are responsible for knowing what their policy covers. CityRide is not an insurer.

Ratings

After a trip, the rider and the driver may rate each other. Ratings are used for quality and safety. You will not use a rating to threaten someone or to extort a refund. We may limit or end access based on ratings, cancellations, and reports. [TODO: rating threshold that affects access, and whether written comments are shown to the other person].

License to the apps

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the apps for CityRide trips in line with these terms. You do not receive any ownership in the apps, the CityRide name, or the software. You will not copy, reverse engineer, or resell the apps except where a law forbids that limit.

If you submit a photo, rating, or support message, you give CityRide App LLC a license to use that material to operate the service, including showing your name and photo to the other person on a trip. You represent that you have the rights to the material you submit.

Disclaimers and liability

The apps are coming soon and, when available, are provided "as is" and "as available." To the fullest extent Utah law allows, CityRide App LLC disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a driver will accept a request, that a trip will be uninterrupted, or that the apps will be error free.

To the fullest extent Utah law allows, CityRide App LLC and its members, employees, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill. Our total liability for a claim arising out of a trip or these terms is limited to the greater of the amount you paid to CityRide for the trip that gave rise to the claim, or the fees you paid to CityRide for the service in the three months before the claim. [TODO: replace that cap with a different dollar cap if counsel sets one]. These limits do not apply to liability that Utah law does not allow us to limit, including liability for gross negligence or willful misconduct where a waiver is not enforceable.

Indemnity

You will defend and indemnify CityRide App LLC and its members, employees, and suppliers against claims, damages, losses, and reasonable expenses, including reasonable attorneys' fees, arising out of your use of the service, your driving or riding, your content, your breach of these terms, or your violation of the law or of another person's rights. This indemnity does not apply to the extent a claim is caused by CityRide's gross negligence or willful misconduct. We may control the defense of a claim that you indemnify, and you will cooperate.

Disputes, arbitration, and class actions

These terms are governed by the laws of the State of Utah, excluding conflict-of-law rules that would apply another state's law. The launch market is Salt Lake City, Utah.

You and CityRide App LLC agree to try to resolve a dispute informally first. Email support@cityrideapp.com with the subject "Dispute" and a short description. If we cannot resolve it within 30 days after we receive that email, either of us may start arbitration.

Except for the small-claims option below, any dispute, claim, or controversy arising out of these terms or the service will be resolved by binding individual arbitration, not in court, and not as a class, collective, or representative action. The arbitration will be held in Salt Lake City, Utah, or by video if the arbitrator allows it. The arbitrator may award the same relief a court could award to an individual. The arbitration organization and its rules are [TODO: arbitration organization and which of its rules apply]. If that organization will not accept the case, the parties will agree on another administrator, and if they cannot agree a court of competent jurisdiction in Salt Lake County, Utah may appoint one.

You may opt out of this arbitration agreement within 30 days after you first accept these terms. Opt out by emailing support@cityrideapp.com with the subject "Arbitration Opt-Out," your name, and the phone number on the account. Opting out does not affect the rest of these terms. If you opt out, or if a claim may be brought in small claims court, either party may bring an individual claim in the small claims court of Salt Lake County or in the small claims court of the county where you live.

You and CityRide App LLC waive any right to a jury trial and any right to participate in a class, collective, or representative action. The arbitrator may not consolidate claims or preside over a class action. If a court finds the class-action waiver unenforceable as to a particular claim, that claim will proceed in court and the rest of the claims will remain in arbitration. If a court finds the arbitration agreement unenforceable in full, exclusive venue for court proceedings will be the state or federal courts located in Salt Lake County, Utah, and you consent to personal jurisdiction there.

Apple App Store terms

If you download CityRide from the Apple App Store, you and CityRide App LLC acknowledge and agree to the following. These terms are concluded between you and CityRide App LLC only, and not with Apple. CityRide App LLC, not Apple, is solely responsible for the apps and their content.

The license we grant you for an iOS app is limited to a non-transferable license to use that app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The app may be accessed by other accounts associated with the purchaser through Family Sharing or volume purchasing.

CityRide App LLC is solely responsible for maintenance and support. You and CityRide App LLC acknowledge that Apple has no obligation to furnish maintenance or support for the apps.

CityRide App LLC is solely responsible for any product warranties. If an app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for that app. To the maximum extent permitted by law, Apple has no other warranty obligation for the app. Any other claim, loss, liability, damage, cost, or expense attributable to a failure to conform to a warranty is CityRide App LLC's responsibility.

You and CityRide App LLC acknowledge that CityRide App LLC, not Apple, is responsible for addressing claims by you or a third party relating to an app or your possession or use of it, including product-liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection or privacy law.

If a third party claims that an app, or your possession and use of it, infringes that party's intellectual property rights, CityRide App LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim.

You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

You must comply with third-party terms that apply when you use the apps, including carrier terms and, for drivers, the insurance and licensing rules described above. Developer contact information is in the contact section. The mailing address is CityRide App LLC, 544 Foxboro Drive, North Salt Lake, UT 84054, United States.

You and CityRide App LLC acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of these terms as they relate to an app downloaded from the App Store. Upon your acceptance, Apple will have the right, and will be deemed to have accepted the right, to enforce these terms against you as a third-party beneficiary.

If you download CityRide from Google Play, you also agree to Google Play's terms of service as they apply to that download. Google is not responsible for the apps or for support. The account-deletion page we will give Google Play is the /delete-account page on this website.

Termination

You may stop using CityRide at any time and may delete the account as described on the delete account page. We may suspend or terminate access if you breach these terms, if we believe there is a safety or fraud risk, or if the law requires it. We will do so consistent with applicable law. Sections that by their nature should survive will survive, including fees you owe, licenses you granted, insurance responsibility, disclaimers, liability limits, indemnity, dispute resolution, and the Apple terms.

Changes

We may update these terms by posting the new version and changing the effective date. If a change is material, we will notify you in the app or by email or text if we have a way to reach you. If you continue to use CityRide after the new effective date, you accept the update. If you do not agree, stop using the service and delete the account. We will not change the arbitration agreement for a dispute that has already started.

If a provision is unenforceable, the rest remains in effect. These terms, together with the privacy policy, are the entire agreement between you and CityRide App LLC about the service. They do not create rights for any person other than you, CityRide App LLC, and Apple to the extent of the Apple section. A failure to enforce a provision is not a waiver.
